Dealing in company securities with a view to making a profit or avoiding a loss while in possession of unpublished information that, if generally known, would affect their price. Under the Companies Securities (Insider Dealing) Act (1985) it is a criminal offence for those who are or have been connected with a company (e.g. the directors, the company secretary, employees, and professional advisers) to engage in such dealing on or, in certain circumstances, off the stock exchange. The prohibition extends to certain unconnected persons to whom confidential information has been conveyed. The Financial Services Authority has the authority to undertake criminal prosecutions for insider dealing.
